Terms and Conditions
These terms govern the C2C Trade Portal website and application. Contractors who use the Platform are independent businesses, not C2C.
Effective September 1, 2026. These terms govern the C2C Trade Portal website and application operated by C2C Trade Portal LLC.
These terms govern use of the C2C Trade Portal website and application (the “Platform”), operated by C2C Trade Portal LLC, a Florida limited liability company organized under the Florida Revised Limited Liability Company Act, Chapter 605, Florida Statutes (“C2C”). Public records for the company are on file with the Florida Department of State, Division of Corporations. Independent contractors who use the Platform are not C2C.
If you do not agree, do not use the Platform. By creating an account, clicking to accept, or using the Platform, you agree to these terms and to the Privacy Policy. That clickwrap or checkbox acceptance is intended to form a contract under Florida law. The Platform is offered to users 18 or older. Electronic records are given effect under E-SIGN and Fla. Stat. ch. 668.
1. Relationship
C2C is a software platform. It lets independent contractors manage their business operations and lets homeowners find and communicate with those contractors.
C2C does not employ, supervise, direct, schedule, dispatch, or control the contractors who use the Platform. Contractors are independent businesses, solely responsible for the work they perform, the manner in which they perform it, and their interactions with customers.
Nothing on the Platform makes a contractor C2C’s employee, agent, partner, or joint venturer. A contractor has no authority to bind C2C to any representation, warranty, or obligation.
2. No vetting and no endorsement
C2C does not conduct background checks, criminal history checks, credit checks, or in-person vetting of any contractor, unless a specific check is explicitly and individually described on that contractor’s profile.
License numbers, ratings, review counts, and completed-job counts displayed on the Platform are factual records maintained by C2C or self-reported by the contractor. They are not a promise of quality, safety, or fitness. Homeowners should verify a contractor’s license directly with the state licensing authority before hiring. Selection of any contractor is made entirely at the homeowner’s discretion and risk.
The Platform does not use “our contractors,” “our technicians,” “our team,” “verified,” “vetted,” “trusted,” “background-checked,” or “C2C-approved” as a claim about a contractor. Product copy says “crews,” meaning the contractor’s own crews.
3. Safety and incidents
If you experience unsafe, threatening, abusive, or criminal conduct by a contractor or a homeowner you met through the Platform, contact local law enforcement immediately. Call 911 for emergencies.
You may also report the incident to C2C so the account’s access to the Platform can be reviewed. C2C is not a substitute for law enforcement. C2C cannot investigate or adjudicate criminal matters, and reporting to C2C does not promise any particular outcome.
4. Contractor obligations
By using the Platform, the contractor agrees that:
(a) The contractor is an independent business and is not an employee, agent, partner, or joint venturer of C2C Trade Portal LLC.
(b) The contractor has no authority to bind C2C.
(c) The contractor is solely responsible for the manner, means, and quality of work, and for all interactions with customers arising from use of the Platform.
(d) Throughout use of the Platform, the contractor will maintain current general liability insurance and any required state contractor license, and will provide proof of both on request as a condition of continued access.
(e) The contractor will indemnify, defend, and hold harmless C2C Trade Portal LLC and its officers and members from any claim, demand, damage, loss, or liability, including reasonable attorneys’ fees, arising out of the contractor’s conduct, work, or presence at a customer’s property.
5. Homeowners
A homeowner uses the Platform to find and communicate with independent contractors. The contract for the work, the price, the schedule, and the warranty are between the homeowner and the contractor’s business. C2C is not a party to that contract and does not guarantee the work.
6. Payments
C2C does not process, hold, or intermediate payments between homeowners and contractors. Payment is made directly between the homeowner and the contractor’s business, through the method that contractor offers. C2C is not a party to that payment and is not a money transmitter for it.
A contractor’s subscription fee for the Platform, if any, is a separate charge owed to C2C for software. It is not a cut of the homeowner’s payment. If a subscription auto-renews, C2C will give the disclosures and cancellation path required by Fla. Stat. § 501.165.
7. Text messages
Job-update texts are sent only to a person who requested the work and agreed to receive them. Messages cover a visit window, crew on the way, and job done. They are not marketing.
Message and data rates may apply. Message frequency varies. Reply STOP to opt out. Reply HELP for help. Opting out of texts does not cancel a job with the contractor.
The brand on these messages is C2C Trade Portal. A contractor may also identify its own business name in a message.
We do not sell or share SMS opt-in data or personal information with third parties for marketing purposes. Wireless carriers are not liable for delayed or undelivered messages. Recipients must be 18 or older. Consent is not a condition of hiring a contractor. See the Privacy Policy.
8. Limitation of liability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, C2C’s total liability arising from or related to use of the Platform shall not exceed the greater of (a) the amounts, if any, you paid to C2C for the Platform during the twelve (12) months before the claim or (b) one hundred U.S. dollars (US $100.00). In no event is C2C liable for indirect, incidental, consequential, or punitive damages.
This cap is not a substitute for calling law enforcement, and it is not the protection for an intentional harm by a contractor. The contractor remains responsible for the contractor’s own conduct. Nothing here limits liability Florida law does not allow to be limited, including C2C’s own fraud or death or personal injury caused by C2C’s gross negligence or willful misconduct. These terms do not waive non-waivable rights under the Florida Deceptive and Unfair Trade Practices Act, Fla. Stat. § 501.201 et seq.
9. Disputes
Except where prohibited by law, any dispute arising out of these terms or use of the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association, and not in court. This clause is intended to be enforced under the Federal Arbitration Act and, as needed, the Revised Florida Arbitration Code, Chapter 682, Florida Statutes. You and C2C each waive any right to a jury trial and any right to participate in a class, collective, or representative action. Either party may bring an individual claim in small-claims court. You may opt out of arbitration by written notice through www.c2ctradeportal.com within 30 days after you first agree to these terms.
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs this arbitration provision. Subject to this Section 9, exclusive venue for court proceedings that are not sent to arbitration is the state or federal courts located in Florida. You and C2C consent to personal jurisdiction there.
10. Acceptable use
You will not use the Platform to break the law, to harass or threaten anyone, to misrepresent a license or insurance, or to send texts to anyone who has not opted in. C2C may suspend or close an account that breaks these terms or that creates a safety risk.
11. Changes
C2C may update these terms by posting a new version on this page. Continued use after the posted date is acceptance of the update. The date at the top is the version date.
12. Entire agreement with C2C
These terms are the agreement between you and C2C about use of the Platform. They do not replace the separate agreement between a homeowner and a contractor for the work itself.
13. Florida legal notices

Nothing in these terms requires a Florida consumer to waive a right that Florida statute says cannot be waived.
Subscription terms for contractors
Levels and billing. Founding Contributor is $25 per month for up to 3 users, billed monthly. Solo is $74.95 per month for up to 3 users. Shop is $209 per month month-to-month, or $179 per month billed annually, for up to 10 users. Crew is $329 per month month-to-month, or $279 per month billed annually, for up to 20 users. Every level includes every core module; levels differ by users and storage. C2C Trade Portal LLC charges your subscription on its own Square account, and Square is the payment processor. No card number is stored by C2C.
Free trial. Solo, Shop, and Crew start with a 14-day free trial, one per company, with a card collected at signup and first charged when the trial ends. During the trial you get full C2C use (jobs, scheduling, crews, estimates, and invoices) and may connect your own Square, including a test payment to yourself; live customer charges are off during the trial — no homeowner Square pay links are sent and no live card charges are taken. When you convert to a paid plan, live charging turns on automatically with nothing else to set up. Cancelling during the trial means no charge. Founding Contributor has no trial.
Changing levels. An upgrade or downgrade takes effect at the end of the current billing cycle, at the new price from the next billing date, with no mid-cycle charge, proration credit, or refund. Your access and storage stay at the current level until the paid-through date. If your storage is over the lower level after a downgrade, nothing is deleted; new uploads pause until your usage fits or you move back up.
Cancelling. You may cancel in Settings/Billing. Access continues until the paid-through date, then the account is locked, with no refund for time already paid. You may subscribe again later at the then-current price; a cancelled Founding Contributor seat and price are not held for you.
If a subscription payment fails. Based on days from the first failed charge: on days 1-30 you may keep working existing jobs and accept payments on them, but may not create or start new jobs; on days 31-60 your access is view-only and you may not accept payments through C2C; after 60 days the account is locked. Paying what is owed during the first two stages restores full access.
Storage. Storage included with each level is 10 GB for Founding Contributor, 10 GB for Solo, 50 GB for Shop, and 100 GB for Crew, with 10 GB as the default. At 70% full, C2C sets an internal flag only and does not email you. At 90% full, C2C emails the account owner. Owners can see usage and request more storage, but only a Platform Administrator can raise a quota.
Founding Contributor. Founding Contributor is by approval only. C2C approves each request. There are 20 seats in total and no more than 5 per trade. Only an approved contractor is offered Founding Contributor checkout.
Money between homeowners and contractors. C2C never holds, routes, or intermediates money between a homeowner and a contractor. A homeowner pays the contractor's own Square account directly, and that money goes to the contractor, not through C2C. C2C only records that a payment happened so a job can show as paid. Your C2C subscription fee is different: C2C Trade Portal LLC charges it as the seller on its own Square account for your software subscription, separate from every homeowner payment.
